1. Acceptance of Terms

By accessing or using Eventimio ("the Service"), operated at eventimio.ai, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. These Terms constitute a legally binding agreement between you and Eventimio ("we," "us," or "our").

We may update these Terms from time to time. If we make material changes, we will notify you by email or through the platform. Your continued use of the Service after such changes constitutes acceptance of the updated Terms.

2. Account Registration

To use the Service, you must create an account using your email address. You are responsible for maintaining access to the email address associated with your account.

You agree to:

• Provide accurate and complete registration information
• Keep your account credentials (email access) secure
• Notify us immediately of any unauthorized use of your account
• Not create multiple accounts for the purpose of circumventing usage limits or restrictions

You are responsible for all activity that occurs under your account, whether or not you have authorized such activity.

3. Acceptable Use

You agree not to use the Service to:

• Upload, store, or distribute content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
• Upload content that infringes on the intellectual property rights of any third party
• Scrape, crawl, or use automated means to access the Service without our prior written consent
• Attempt to gain unauthorized access to the Service, other accounts, or our systems
• Interfere with or disrupt the Service, servers, or networks
• Use the Service for any purpose that is unlawful or prohibited by these Terms
• Reverse-engineer, decompile, or disassemble any part of the Service
• Resell or redistribute the Service without our written permission

We reserve the right to investigate and take appropriate action, including suspending or terminating your account, if we reasonably believe you have violated these Terms.

4. Event Content and Photos

You retain full ownership of all content you upload to the Service, including photos, guest lists, event details, and any other materials. By uploading content, you grant Eventimio a limited, non-exclusive, worldwide license to host, store, display, and process your content solely for the purpose of providing the Service to you.

This license terminates when you delete the content or your account. We do not use your content for advertising, marketing, or any purpose beyond operating the Service on your behalf.

You represent and warrant that you have the necessary rights and permissions to upload any content to the Service and that such content does not violate any applicable laws or third-party rights.

5. Biometric Data

Biometric data processing is governed by our Privacy Policy, which provides detailed disclosures required under BIPA, GDPR, and CCPA. Key points:

• Biometric features are disabled by default and require your explicit opt-in consent
• You may withdraw consent at any time from your account settings, which triggers prompt deletion of all biometric data
• Biometric data is automatically deleted after 90 days
• We never sell, share, or use biometric data for purposes beyond organizing your event photos

6. Guest Data Responsibility

As an event organizer, you may add guest information to the Service, including names, email addresses, phone numbers, dietary restrictions, and other details. You are responsible for ensuring you have the appropriate permission or legal basis to add guest information to the platform.

You represent and warrant that:

• You have obtained any necessary consent from guests before adding their personal information
• You will only add guest information that is accurate and relevant to your event
• You will inform guests that their information is being managed through the Service
• You will comply with applicable data protection laws regarding the guest data you provide

Eventimio acts as a data processor for guest information. You, as the event organizer, are the data controller and bear primary responsibility for the lawfulness of processing guest data.

7. Intellectual Property

Our platform: Eventimio and its original content, features, and functionality are owned by Eventimio and are protected by international copyright, trademark, and other intellectual property laws. The Service name, logo, and all related marks are trademarks of Eventimio.

Your content: You retain all ownership rights to your content. We claim no intellectual property rights over the materials you upload, create, or share through the Service.

8. Payment and Billing

Eventimio offers subscription plans with varying feature sets and usage limits. A free tier is available with limited functionality, including restrictions on guest count, photo storage, and feature access.

• Paid subscriptions are billed on a recurring basis (monthly or annually) as selected at the time of purchase
• All fees are non-refundable except as required by applicable law or as otherwise stated in our refund policy
• We reserve the right to change pricing with reasonable advance notice to existing subscribers
• If payment fails, we may suspend access to paid features until payment is resolved
• You are responsible for all applicable taxes related to your use of the Service

9. Service Availability

We use commercially reasonable efforts to keep the Service available and operational. However, we do not guarantee 100% uptime and the Service may be temporarily unavailable due to:

• Scheduled maintenance (we will provide advance notice when possible)
• Unplanned outages caused by factors beyond our reasonable control
• Third-party service disruptions (hosting providers, CDN, etc.)
• Force majeure events

We will make reasonable efforts to notify users of planned downtime and to restore service as quickly as possible in the event of unplanned outages.

10. Termination

By you: You may delete your account at any time through your account settings. Upon deletion, all your data — including events, photos, guest information, and biometric data — will be permanently removed from our systems in accordance with our Privacy Policy.

By us: We may suspend or terminate your account if you violate these Terms, engage in fraudulent or illegal activity, or if your use of the Service poses a risk to other users or our infrastructure. We will provide reasonable notice when possible. Where permitted by the circumstances, we will provide an opportunity to export your data prior to termination.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Eventimio and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or related to your use of the Service.

Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you have paid to us in the twelve (12) months preceding the claim.

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Tel Aviv, Israel.

13. Changes to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by email to the address associated with your account and/or by posting a notice on the Service at least 30 days before the changes take effect.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should discontinue your use of the Service.
